GOVERNANCE
INTERNATIONAL COUNCIL OF PROFESSIONALS (ICOP)
TRUST. ACCOUNTABILITY. TRANSPARENCY. RESPONSIBILITY.
The International Council of Professionals (ICOP) is committed to developing a professional organisation founded upon responsible governance, ethical leadership, transparency, accountability and respect for its members and stakeholders.
As ICOP develops its global professional community, its governance framework is intended to provide a clear foundation for:
Responsible decision-making
Institutional accountability
Professional integrity
Protection of member interests
Transparent administration
Ethical leadership
Responsible use of organisational resources
Effective management of chapters, committees and programmes
Sustainable organisational development
GOOD GOVERNANCE IS NOT A FORMALITY. IT IS THE FOUNDATION OF TRUST.
OUR GOVERNANCE PHILOSOPHY
BUILDING AN ORGANISATION THAT CAN GROW WITH TRUST
A global professional organisation may eventually involve members, leaders, volunteers, chapters, committees, partners, institutions and professional communities across different countries.
Such an organisation requires governance principles that provide consistency while allowing appropriate local participation.
ICOP therefore seeks to develop a governance framework based upon five fundamental principles:
INTEGRITY
Decisions and actions should be guided by ethical principles.
TRANSPARENCY
Relevant organisational information should be communicated appropriately and responsibly.
ACCOUNTABILITY
Individuals entrusted with responsibilities should be accountable for their actions.
FAIRNESS
Members and participants should be treated respectfully and consistently.
RESPONSIBILITY
Organisational authority should be exercised for legitimate ICOP purposes and in the interests of the professional community.
GOVERNANCE AT ICOP
A STRUCTURE DESIGNED FOR A GLOBAL COMMUNITY
As ICOP develops, its organisational structure may include different levels of leadership and administration.
These may include:

↓
GOVERNING COUNCIL
Where formally constituted, providing appropriate institutional oversight and governance.
↓
ADVISORY COUNCIL
Providing professional, strategic and subject-matter perspectives.
↓
PROFESSIONAL COMMITTEES
Supporting specific areas of ICOP's activities.
↓

↓
CHAPTERS & COMMUNITIES

The precise composition, authority, appointment procedures and responsibilities of these bodies will be established through ICOP's applicable constitutional, governance and operational framework.
THE FOUNDER'S ROLE
FOUNDING VISION & INSTITUTIONAL DIRECTION

The Founder may provide strategic direction during the development of the organisation and support the establishment of its institutional framework, professional community and governance systems.
The Founder:
Dr. Anupam Kumar Mishra
Founder, International Council of Professionals (ICOP)
The Founder’s role does not replace the need for appropriate governance, accountability or institutional processes as ICOP develops.
VISION MAY BEGIN WITH ONE PERSON. INSTITUTIONS ARE BUILT THROUGH RESPONSIBLE GOVERNANCE.
GOVERNING PRINCIPLES
ICOP's governance framework seeks to be guided by the following principles.
01 — PURPOSE
Every major organisational decision should be connected to ICOP's stated purpose, mission and objectives.
02 — INTEGRITY
Those exercising organisational responsibilities should act honestly and ethically.
03 — ACCOUNTABILITY
Responsibilities should be clearly assigned and individuals should be accountable for their decisions and actions.
04 — TRANSPARENCY
The organisation should seek to communicate relevant information appropriately to members and stakeholders.
05 — PROFESSIONALISM
Leadership and administration should be conducted with competence, diligence and respect.
06 — FAIRNESS
Members and participants should be treated fairly and without improper discrimination.
07 — INDEPENDENCE
Decision-making should seek to remain free from inappropriate personal or external influence.
08 — RESPONSIBLE RESOURCE MANAGEMENT
Organisational resources should be used responsibly and for legitimate organisational purposes.
09 — CONFIDENTIALITY
Confidential information should be handled responsibly and only used for appropriate purposes.
10 — CONTINUOUS IMPROVEMENT
Governance systems should evolve as ICOP develops and as professional and regulatory requirements change.

Appropriate documentation
Accountability
CONFLICT OF INTEREST
PROTECTING OBJECTIVITY AND PROFESSIONAL TRUST
Individuals holding leadership, advisory, committee, chapter or other positions may occasionally have personal, professional, financial or institutional interests that could conflict—or appear to conflict—with their responsibilities to ICOP.
ICOP seeks to establish appropriate conflict-of-interest standards requiring relevant individuals to:
Disclose potential conflicts
Avoid inappropriate participation in affected decisions
Refrain from using organisational positions for improper personal benefit
Act transparently
Follow applicable ICOP policies
A conflict of interest does not necessarily mean wrongdoing.
DISCLOSURE AND RESPONSIBLE MANAGEMENT PROTECT TRUST.
ETHICAL LEADERSHIP
ICOP expects individuals representing the organisation to uphold high standards of professional and ethical conduct.
Leadership positions should never be used to:
Misrepresent authority
Make unauthorised commitments
Improperly solicit members
Exploit organisational relationships
Misuse confidential information
Engage in harassment
Discriminate against participants
Obtain improper personal advantage
Damage the reputation of ICOP
Those representing ICOP should act within the authority assigned to their respective positions.

As applicable to its structure and activities, ICOP seeks to establish appropriate controls concerning:
Membership revenue
Event revenue
